These terms apply to Slingshot LLC and to every Slingshot product, service and website. Slingshot is an independent services and product house that represents only itself, not any government entity or third party.

1. Parties and scope

These Terms & Conditions (the “Terms”) are an agreement between you (and, if you act for an organization, that organization) and Slingshot LLC (“Slingshot”). They apply to all of the following (together, the “Services”):

  • Services: Advisory, Slingshot Labs (managed services), Co-Innovate, Saudi Services (including DGA-index readiness work), Banking and Startups programs, and any consulting, design, engineering, research, training or delivery work.
  • Products and platforms: Nexus, Slingshot Menu, Hackathon, Event, Aware, Awake, Taqassi, ElevateX and Slingshot Academy.
  • Websites: eslingshot.com and every subdomain of it (for example nexus.eslingshot.com, menu.eslingshot.com, hackathon.eslingshot.com, event.eslingshot.com, aware.eslingshot.com, awake.eslingshot.com, labs.eslingshot.com), taqassi.com, and any other website, landing page, app, social channel or content published by or for Slingshot.
  • Any product, service, program, event or brand that Slingshot launches in the future.

The Privacy Policy, Disclaimers, Intellectual Property & Client References policy, No-Refund Policy and Acceptable Use Policy form part of these Terms.

2. Acceptance

By accessing, browsing or using any of the Services, you agree to these Terms. If you do not agree, do not use the Services. When you place an order, subscribe, register, sign a proposal or pay an invoice, you confirm your acceptance again at that point.

If you accept on behalf of an organization, you confirm that you are authorized to bind it.

3. Slingshot is an independent company

Slingshot LLC is an independent limited liability company with a legal personality separate from its owners, shareholders, partners, directors, managers, investors, employees and contractors (together, “Slingshot Personnel”).

  • All rights and obligations under these Terms, and under any order, proposal, invoice or other dealing with any of the Services, belong to Slingshot LLC alone.
  • No Slingshot Personnel is a party to these Terms or to any contract with you, and none of them gives any personal guarantee, warranty or undertaking.
  • The personal identity, nationality or place of residence of any owner or investor, in Saudi Arabia or anywhere else, creates no legal relationship between that person and you.

See also section 13 (claims against the company only).

4. No government or third-party representation

Slingshot is a services and product house and represents only itself. Slingshot is not a government entity, does not represent or act as an agent of any government, ministry, authority or regulator (including the Digital Government Authority (DGA), the Saudi Data & AI Authority (SDAIA) or any other public body), and does not represent any company or person other than Slingshot LLC.

Where our Services help you prepare for, align with or comply with a standard, index, framework or requirement set by an authority, we provide independent advisory and delivery services only. Decisions, scores, rankings, certifications, approvals and awards are made solely by the relevant authority, and we do not guarantee any of them.

5. Your use of the Services

  • You must provide accurate information, keep your credentials secure and tell us promptly about any unauthorized access.
  • You are responsible for everything done through your accounts and for your own content, data and instructions.
  • You must comply with the Acceptable Use Policy and all applicable laws.
  • Unless a product page says otherwise, the Services are intended for businesses and professionals.

We may refuse, suspend or end access to any of the Services, at our discretion, including where we reasonably suspect a breach of these Terms, a security risk, non-payment or legal exposure for Slingshot.

6. Fees, payment and no refunds

  • Fees are those shown on the relevant product page, order, proposal or invoice. Fees exclude taxes (such as VAT), which you pay unless the law requires otherwise.
  • Subscriptions renew automatically for the same period unless cancelled before the renewal date. Cancellation stops future renewals only.
  • All fees are final and non-refundable across every product and service, as set out in the No-Refund Policy.
  • We may change prices, plans and features. Changes apply from your next billing period or new order.
  • Late payments may lead to suspension of the Services until paid in full.

7. How we deliver

  • Services are delivered on a reasonable-efforts basis, in line with the scope agreed in writing. Timelines and estimates are targets, not guarantees, unless a signed agreement expressly says a date is binding.
  • Any service level, uptime figure or support commitment applies only if it is written into an order or agreement signed by Slingshot LLC.
  • We may change, improve, suspend or discontinue any feature, product or service at any time.
  • Work outside the agreed scope, or changes you request, may be charged separately.
  • Your cooperation, inputs, access and approvals are needed for delivery. Delays caused by them are not our responsibility.

8. Third-party platforms and YouTube-based content

Some Services use or link to third-party platforms. In particular, the videos inside Aware and Awake are YouTube videos, hosted on and played through YouTube, and are subject to YouTube’s Terms of Service and policies. Videos produced by third parties remain the property of their owners. Videos produced by Slingshot remain the copyright of Slingshot LLC.

What Slingshot sells in Aware and Awake is the governance of watching (assignment, tracking, progress, completion and reporting) and the certification system built around the videos. We do not sell or license the videos themselves. Availability of any video depends on YouTube and its owner, and we are not responsible for third-party platforms, their content or their changes.

9. AI-generated content

Content on our websites and inside our products may be generated or assisted by artificial intelligence. It is provided for general information only and may contain errors, omissions or out-of-date information. You should verify anything you rely on. See the AI disclaimer.

10. Intellectual property

All Services, products, platforms, software, designs, methods, frameworks, ideas, content, names, logos and trademarks of Slingshot are owned by Slingshot LLC or its licensors, and all rights are reserved. You receive only a limited, non-exclusive, non-transferable and revocable right to use the Services as these Terms allow. Details, including how we may refer to you as a client, are in the Intellectual Property & Client References policy.

Unless a signed agreement says otherwise, ownership of deliverables transfers to you only after full payment, and Slingshot keeps all rights in its pre-existing materials, tools, know-how and reusable components.

11. No warranties

To the maximum extent permitted by law, the Services and all content are provided “as is” and “as available”, without any warranty of any kind, whether express, implied or statutory, including any warranty of merchantability, fitness for a particular purpose, accuracy, availability, results or non-infringement. We do not warrant that the Services will be uninterrupted, error-free or secure, or that they will achieve any score, ranking, certification, approval or business outcome.

12. Limitation of liability

To the maximum extent permitted by law:

  • Slingshot is not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profit, revenue, business, data, goodwill or opportunity, however caused.
  • Slingshot’s total liability for all claims arising out of or relating to the Services or these Terms is limited to the fees you actually paid to Slingshot LLC for the specific Service giving rise to the claim during the three (3) months before the event that caused it.
  • Any claim must be notified to us in writing within six (6) months after the event giving rise to it, or it is waived.

Nothing in these Terms limits liability that cannot be limited under applicable law, such as liability for fraud or wilful misconduct.

13. Claims against the company only

To the maximum extent permitted by law, you agree that:

  • any claim, complaint, demand or legal proceeding relating to any of the Services, these Terms or any dealing with Slingshot may be brought only against Slingshot LLC;
  • you will not bring any such claim personally against any owner, shareholder, partner, director, manager, investor, employee or contractor of Slingshot, in the Kingdom of Saudi Arabia, Jordan or any other country, and you waive and release any such personal claim; and
  • each of those persons may rely on and enforce this section.

This section does not exclude personal liability that applicable law does not allow to be excluded (for example, an individual’s own fraud).

14. Your indemnity

You will defend, indemnify and hold harmless Slingshot LLC and Slingshot Personnel from and against any claim, loss, liability, damage, cost or expense (including reasonable legal fees) arising out of your use of the Services, your content or data, your breach of these Terms or of any law, or your infringement of any third-party right.

15. Confidentiality

Each party will protect the other’s non-public information that is marked or reasonably understood as confidential, and use it only for the Services. This does not apply to information that is public, already known, independently developed, or that must be disclosed by law. Our right to name you as a client and publish case studies is described in the Client References section.

16. Suspension and termination

We may suspend or terminate your access to any of the Services at any time, with or without notice, if we reasonably believe it is needed for security, legal or commercial reasons or because of a breach of these Terms. You may stop using the Services at any time. Fees already paid or due are not refunded on suspension or termination. Sections that by their nature should survive termination will survive.

17. Force majeure

Slingshot is not liable for any delay or failure caused by events beyond its reasonable control, including outages of third-party platforms, internet or hosting providers, government action, war, unrest, natural disasters, epidemics or labour disputes.

18. Changes to these Terms

We may update these Terms at any time by publishing a new version on this page with a new effective date. For material changes affecting active paid subscriptions, we will make reasonable efforts to notify the account owner. Continued use of the Services after an update means you accept the updated Terms.

19. Governing law and disputes

These Terms are governed by the laws of the Kingdom of Saudi Arabia. The parties will first try to settle any dispute through good-faith negotiation for thirty (30) days. If it is not settled, the competent courts of Riyadh, Kingdom of Saudi Arabia, have exclusive jurisdiction, unless mandatory law gives you a different forum.

20. General

  • These Terms, together with any signed order or agreement, are the entire agreement between you and Slingshot about the Services.
  • If any provision is found unenforceable, it applies to the maximum extent allowed and the rest remains in force.
  • You may not assign these Terms without our written consent. We may assign them, including to an affiliate or a successor.
  • Slingshot and you are independent contractors. Nothing creates a partnership, joint venture, agency or employment relationship.
  • Our failure to enforce a right is not a waiver of it.
  • If these Terms are translated, the English version prevails to the extent permitted by law.
